By accessing or using the AutoStar Systems website, services, and software (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Services. These terms apply to all visitors, users, and others who access or use the Services.

2. Description of Services

AutoStar Systems provides automation, CRM setup, missed-call text-back, lead follow-up, and booking automation services primarily for contractors and home-service businesses. The specific scope of services will be outlined in your individual service agreement or proposal. We reserve the right to modify, suspend, or discontinue any part of the Services at any time.

3. Account Registration and Eligibility

To use certain features of the Services, you may need to register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for safeguarding your account credentials and for any activities or actions under your account. You must be at least 18 years old to use the Services.

4. Payment and Billing

Fees for services are as quoted in your service agreement or proposal. Payment terms are net due upon receipt unless otherwise agreed in writing. Recurring services will be billed in advance according to the agreed billing cycle. Late payments may result in suspension of services. All fees are non-refundable unless otherwise stated in writing.

5. Intellectual Property

All content, software, designs, and materials provided by AutoStar Systems are owned by us or our licensors and are protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Services as intended. You may not copy, modify, distribute, or reverse-engineer any part of our software or systems without prior written consent.

6. Client Data and Responsibilities

You retain ownership of all data, content, and materials you provide to us ("Client Data"). You grant us a limited license to use, process, and store Client Data solely to provide the Services. You represent that you have all necessary rights to provide Client Data and that it does not violate any laws or third-party rights. You are responsible for ensuring compliance with applicable telemarketing, SMS, and data privacy laws.

7. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not guarantee that the Services will be uninterrupted, error-free, or secure. No advice or information obtained from AutoStar Systems shall create any warranty not expressly stated in these terms.

8. Limitation of Liability

To the fullest extent permitted by law, AutoStar Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or business interruption, arising out of or related to your use of the Services. Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to liability.

9. Indemnification

You agree to indemnify and hold harmless AutoStar Systems, its officers, employees, and agents from any claims, damages, liabilities, and expenses arising from your use of the Services, your violation of these terms, or your infringement of any third-party rights.

10. Termination

Either party may terminate the service agreement with written notice as specified in the applicable service agreement. Upon termination, all rights and licenses granted to you will cease, and you must immediately cease using the Services. We may also suspend or terminate your access immediately if you violate these terms or engage in fraudulent or illegal activity.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Oklahoma, without regard to its conflict of law provisions. Any dispute arising from these terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be resolved through binding arbitration in Oklahoma County, Oklahoma.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting the updated terms on our website. Your continued use of the Services after any changes constitutes acceptance of the revised terms. We encourage you to review these terms periodically.
